Terms of Service

1. Agreement to Terms
By engaging Indie Tech for any managed IT service, audit, or project, the Client (“you”) agrees to these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between the Client and Indie Tech (“we,” “us,” or “our”).
2. Services Offered
2.1 Managed Service Plans

- Security Awareness Training
- Encrypted IT Documentation
- Compliance-Ready Framework (Insurance)
- Discounted Support Blocks (available as add-on)
indieCARE — $150/user/month
Work anywhere, without limits. Includes everything in indieCORE, plus:
- Unlimited Help Desk (Monday–Friday, 8×5)
- Endpoint Backup & Recovery
- Quarterly IT Strategy Calls
- Vendor Coordination
- Team Tech Wellness (quarterly training & guides for distraction-free workflows and scam protection)
- Optional Support Blocks for projects and after-hours coverage
indieGUARD — $250/user/month
Full-coverage protection. Includes everything in indieCARE, plus:
- 24/7 Help Desk Access
- Emergency Incident Response
- SLA-backed Resolution Times
- Advanced Compliance Reporting
- Compliance-Ready Framework (Insurance)
2.2 Add-On Services
Network & Infrastructure Add-On — Starting at $150/month
Monitoring of routers, switches, wireless APs, firmware patching, and health reports. May be added to any plan or used standalone with indieCORE.

Audit scopes are defined at engagement and may vary. Final pricing for Wireless Surveys is determined after initial site assessment.
3. Billing & Payment
- Managed service plans are billed monthly, per user, in advance.
- Add-on services are billed monthly alongside the primary plan.
- One-time audit fees are invoiced upon engagement confirmation and due prior to work commencing unless otherwise agreed in writing.
- All fees are in U.S. Dollars (USD).
- Invoices not paid within 30 days of the due date may incur a late fee of 1.5% per month on the outstanding balance.
- Indie Tech reserves the right to suspend services for accounts more than 30 days past due, with prior written notice.
4. Term & Termination
- Managed service agreements are month-to-month unless a fixed term is agreed upon in a separate Statement of Work.
- Either party may terminate a month-to-month agreement with 30 days written notice.
- Indie Tech may terminate immediately for non-payment, breach of these Terms, or conduct that places Indie Tech staff or infrastructure at risk.
- Upon termination, the Client remains responsible for all fees accrued through the end of the final billing period.
5. Service Level Agreement (SLA)
SLA-backed resolution times apply exclusively to the indieGUARD plan.
Help Desk availability by plan:
- indieCORE: No included help desk; discounted support blocks available
- indieCARE: Monday–Friday, 8:00 AM – 5:00 PM (local business hours)
- indieGUARD: 24/7/365
Indie Tech will make commercially reasonable efforts to meet response targets. Force majeure events, third-party outages, or Client-caused delays are excluded from SLA calculations.
6. Client Responsibilities
- The Client agrees to provide Indie Tech with timely access to systems, credentials, and personnel necessary to perform services.
- The Client is responsible for maintaining accurate user counts. Changes in user count must be reported to Indie Tech within 5 business days; billing will be adjusted on the following invoice cycle.
- The Client agrees to use Indie Tech’s services only for lawful business purposes.
- The Client is responsible for ensuring end-user participation in required Security Awareness Training programs included in their plan.
7. Confidentiality
- Both parties agree to keep confidential all non-public information shared in connection with the services, including but not limited to network configurations, credentials, business data, and pricing.
- Indie Tech uses encrypted documentation practices to store and protect Client IT information.
- Confidentiality obligations survive termination of these Terms for a period of three (3) years.
8. Data & Privacy
- Indie Tech will process Client data only as necessary to deliver the services described herein.
- Indie Tech does not sell or share Client data with third parties except as required to deliver services (e.g., security vendors, backup providers) or as required by law.
- In the event of a data incident affecting Client systems, Indie Tech will notify the Client within 72 hours of discovery.
9. Intellectual Property
- All tools, scripts, documentation templates, and processes developed by Indie Tech remain the intellectual property of Indie Tech.
- Deliverables created specifically for the Client (e.g., audit reports, network diagrams) are licensed to the Client for internal use upon payment in full.
10. Limitation of Liability
- Indie Tech’s total liability arising from these Terms shall not exceed the total fees paid by the Client in the three (3) months preceding the claim.
- Indie Tech shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption.
- Nothing in these Terms limits liability for gross negligence or willful misconduct.
11. Warranties & Disclaimers
- Indie Tech warrants that services will be performed in a professional manner consistent with industry standards.
- Indie Tech does not warrant that services will be uninterrupted, error-free, or that all security threats will be prevented. Cybersecurity services reduce risk but cannot eliminate it entirely.
- All services are provided “as-is” to the extent permitted by applicable law.
12. Governing Law & Disputes
- These Terms are governed by the laws of the State of [STATE], without regard to conflict of law principles.
- Any disputes shall first be submitted to good-faith mediation before pursuing litigation.
- The parties agree that any legal action shall be brought in the courts of [COUNTY/STATE].
13. Modifications to Terms
Indie Tech reserves the right to update these Terms at any time. Clients will be notified at least 30 days in advance of any material changes. Continued use of services after the effective date constitutes acceptance of the revised Terms.
